1. What the company is economically for
First decide what the Ltd is economically for: operating EU business, holding, IP ownership, property, or a mix. That answer drives name, objects, banking, the director model and whether an IP Box review is even useful. An Ltd “on the shelf” with no substance plan later produces the letterbox look CyStarter does not sell.
2. Shareholders, beneficial owners and control
Record who holds shares, who is the beneficial owner and how decisions are documented. Cyprus expects a transparent register picture; you also have to think through reporting duties in your state of residence. Opaque nominee constructions are not a serious start and are not recommended here.
3. Name, objects and capital
Company name, objects and share capital are not formalities. Banks and the registry read from them what the company is meant to do. Objects that are too narrow later block licensing or holding activity; objects that are too wide raise KYC questions. The statutory minimum capital of a private Ltd is low. Credible funding and source of funds matter more than the figure on the paper.
4. Local director and economic substance
A local director with documented governance, decision-making and reporting duties is the core of credible substance, not an empty title. Management and control follows the place where the key decisions are actually taken. Anyone who runs the company entirely from Germany and only has the Cyprus director sign is building a visible substance risk.
5. Tax nexus in the home state
A Cyprus Ltd does not automatically change the shareholders’ taxation. CFC rules, exit tax, treaty allocation and where management sits belong in the preparation, not the aftercare. CyStarter frames the project and involves specialist counsel in the states concerned. This text is not individual advice.
6. Banking, accounts and ongoing duties
Treat account opening, bookkeeping, annual accounts and register upkeep as part of formation, not a later add-on. Banks test source of funds, the model and actual activity. A fixed-fee model for ongoing management makes those duties calculable. The scope still has to fit the business.
7. IP Box: decide before the structure is locked
Whether the IP Box will matter should be settled before incorporation, not rebuilt afterwards. Qualifying assets, nexus (own development) and substance have to line up. Trademarks, trade names and pure marketing IP typically sit outside the box. If the asset does not fit, 15% corporate tax is the right reference rate, not 3%.
