The local director: governance, substance and reporting

A local director of a Cyprus Ltd is not a decorative seat. They carry statutory duties, take or record material decisions and make management on the ground traceable. CyStarter describes this model without the words nominee, instruction-bound or fiduciary.

Duties and limits of a local director

The director runs the company within statute, articles and documented processes: register upkeep, banking authorities in the agreed frame, involvement in accounts and tax filings, and minutes of material resolutions. Economic strategy stays visible with the shareholders; it is not moved into an opaque shadow board.

Why documentation is substance

Tax authorities and banks do not test slogans. They test whether decisions happen where the company is meant to be resident. Minutes, reporting lines, the director’s employment contract and demonstrable presence are therefore part of the service, not extras. Without that trail, a Cyprus address on paper helps little.

Letterbox models

A director who only signs on request and never reviews anything produces the opposite of substance. CyStarter uses a local director on a permanent employment contract with clear reporting duties. That is more work than a nameplate, and it is how serious formation differs from letterbox offers.

Who the model is for

It fits entrepreneurs who want to run an operating or IP-holding Ltd in the EU and are willing to take governance seriously. It does not fit projects whose only aim is an invisible intermediate company with no activity. We decline those enquiries.
